General terms of use

1. Introduction Welcome to CoCoach. These General Terms of Use (“Terms”) govern your use of the CoCoach platform (the “Product”), a digital platform designed to support online coaching businesses. By signing up and using the Product, you agree to these Terms. If you do not agree, please do not use the Product.

2. Definitions

• “User” refers to any coach or individual who registers and uses the CoCoach platform.
• “Client” refers to individuals who engage with the User’s coaching services through the Product.
• “Data” refers to information added by the User or Clients to the Product.
• “External Material” refers to content uploaded by the User for use within the Product.
• “Subscription Plan” refers to paid plans that grant Users access to the Product and its features.
• “Coach’s CoCoach” refers to an automated AI-driven assistant that provides advice and takes actions on behalf of the coach, as the coach approves, based on its understanding of the coach, the coach’s target audience, product, ongoing access to business data, and CoCoach’s proprietary playbook.

3. Access and Use of the Product

• CoCoach grants you a non-exclusive, non-transferable, and revocable right to use the Product.
• You may not share login credentials or transfer your access rights to third parties.
• You are responsible for ensuring that all content you upload, including External Material, complies with applicable laws and intellectual property rights.
• CoCoach reserves the right to modify, update, or discontinue features of the Product at any time.
• Your Coach’s CoCoach may provide recommendations and automate tasks based on your business data, but you remain responsible for reviewing and approving any actions it takes.

4. User Responsibilities

• You are solely responsible for managing your coaching business, including handling Client relationships and service delivery.
• You must not use the Product to distribute misleading, unlawful, or harmful content.
• You agree to comply with all applicable data protection laws when handling Client information.

5. Intellectual Property

• CoCoach retains all ownership rights to the Product.
• Users may only use the Product for their coaching business.
• You may not modify, reverse-engineer, or reproduce any part of the Product without explicit permission.
• Users retain full ownership of their content, including but not limited to videos, guides, and programming plans. CoCoach does not claim any rights to use uploaded content for commercial or marketing purposes without explicit permission from the User. However, by using the Product, Users grant CoCoach a non-exclusive, royalty-free, worldwide license to use their name and likeness for marketing and promotional purposes, including advertisements and case studies. CoCoach may contact Users to request permission to feature specific content in promotional materials.
  
  

6. Payments and Fees

• Payments made by Clients for coaching services are handled by the third-party payment processor (e.g., Stripe) and are subject to their terms.
• CoCoach charges a monthly coach subscription fee plus a monthly fee per active client, details of which are specified in the Subscription Terms of Service.

7. Data Privacy

• CoCoach processes data in compliance with applicable data protection regulations (e.g., GDPR).
• Users are responsible for obtaining necessary consent from Clients before collecting personal data.
• CoCoach reserves the right to anonymize and aggregate data for statistical and analytical purposes.

8. Service Availability & Maintenance

• CoCoach strives to ensure the Product is available at all times. However, we may perform scheduled maintenance or experience unexpected downtime. CoCoach is not liable for any disruption, loss of data, or business impact due to system unavailability.

9. Acceptable Use Policy

• Users must not use the Product for illegal, harmful, or abusive purposes, including but not limited to spamming, hacking, or infringing on intellectual property rights. Violation may result in termination of access.

10. Fair Usage Policy

• CoCoach may impose reasonable usage limits to ensure fair access to all users. Excessive use beyond the agreed limits may result in additional fees or service restrictions.

11. Data Retention & Account Termination

• Upon account termination, user data may be deleted or retained per CoCoach’s data retention policies. Users should ensure they export necessary data before terminating their subscription.

12. Liability & Disclaimers

• The Product is provided “as is” without warranties of any kind.
• CoCoach is not liable for any loss of revenue, data, or indirect damages arising from the use of the Product.
• Users are responsible for ensuring compliance with local laws related to their coaching business.
• CoCoach is not responsible for any actions taken or recommendations made by the Coach’s CoCoach. The User assumes full responsibility for reviewing and approving all automated actions.
  
  

13. Termination

• You may terminate your account at any time.
• CoCoach may terminate or suspend access if you violate these Terms.
  
  

14. Governing Law & Dispute Resolution

• These Terms are governed by the laws of Denmark.
• Disputes shall be resolved in the courts of Copenhagen.
